We are honoured to have acted as the independent professional valuer for China Qidian Guofeng Holdings Limited (1280.hk) in respect of its major transaction of acquisition of Shengshang Entrepreneurial Services Company Limited (the “Target Company”). We have conducted a valuation of 100% of equity interest in the Target Company (the “Business Valuation”). The Business Valuation report was appended in the circular published today.

The principal activities of China Qidian Guofeng Holdings Limited and its subsidiaries (the “Group”) are mainly engaged in the retail of household appliance, mobile phones, computers, import and general merchandise and provision of maintenance and installation services, training related business and the liquor business in the PRC. According to the circular of the Group, the Group further develops its training related business by acquiring the​ Target Company and its subsidiaries which is a micro-, small- and medium-sized enterprises (MSME) and individual business (IB) entrepreneurship training services provider in the PRC and targets entrepreneurs and senior executives in MSMEs, as well as individual businesses and customers who are interested in establishing start-up enterprises.

New Capital Investment Entrant Scheme (“New CIES”) is a program launched by the Hong Kong SAR Government, effective from 1 March 2024, which allows qualified individuals to relocate to Hong Kong by making a capital investment in the form of financial assets. Under New CIES, an applicant must apply for a Net Asset Assessment to demonstrate he/she has net assets or net equity with a market value of not less than HK$30 million throughout the two years preceding the date of application. Such assets include bank deposits, securities, bonds, funds, real estate, and unlisted shares.
